Although this may seem a paradox, all exact science is dominated
by the idea of approximation.

When a new company issued shares to the general public through IPO (initial Public offering) first time it draft& issue Prospectus. Now a days the Bank of Khyber & Bank Islamia Pakistan issued Prospectus.
When the shares already issued is sold to another party or public offer for sale document is prepared and issued. Like Kot Addu Power Company shares already issued to WAPDA is sold by the WAPDA to the General Public through Privitization Commission.
In case of unlisted company statement in lieu of prospectus is prepared and filed to the SECP.
