I would like to clarify two points regarding companies (Issue of Capital) Rules 1996.
4.ISSUE OF SHARES ON PREMIUM-
(vii)" the shares alloted to any person on account of preferential allocation at par, shall not be saleable and transferable for a period of two years from the date of public subscription."
(x)" the provisions of clauses (i)to (v) shall not be applicable on the issue of shares where the issue is made through the book building process in accordance with the listing regulations of a stock exchange in Pakistan."

Concerning the above,I am unable to pick some points,will any member help me to understand the followings-
Preferential Allocation
if Shares are being offered on premium then why shares are issue at Par?
what is Issue of shares through book building process?
