can any one tell me the basic difference in prospectus and offer for sale document

and wiether only unlisted comapny issue offer for sale document or listed as well then give me some proof of it

<font face="Book Antiqua">When a new company issued shares to the general public through IPO (initial Public offering) first time it draft& issue Prospectus.Now a days the <font color="blue">Bank of Khyber & Bank Islamia Pakistan </font id="blue"> issued Prospectus.
When the shares already issued is sold to another party or public offer for sale document is prepared and issued. Like <font color="blue">Kot Addu Power Company </font id="blue"> shares already issued to WAPDA is sold by the WAPDA to the General Public through Privitization Commission.
In case of unlisted company statement in lieu of prospectus is prepared and filed to the SECP</font id="Book Antiqua">.
