Provision regarding issue of shares at premium, procedure and who is respnsible for such arragenments?

Dear For the konwing the full requirements to issue of shares at premium kindly read section 86 of the companies Ordinance 1984 for Private Company.For Public companies and listed companies issue of shares at premium read section 86 and Companies (Issue of Capital)Rules ,1996 issued by the SECP.

Section 86 require the following;
Borad Resolution
Offer for new shares accompanied by a circular signed by the directors
Copy of circular filed with the registrar
Circular shall contained the last suscription date
Form 3 should be submitted after one month of allotment
