Read "Corporate laws and secretarial practices" by nazir ahmed shaheen and CA Module E study text 'Corporate Law'. You wont be needing any discussion then. )

In very short words Prospectus is issued by Public Listed Companies and Statement in Lieu of Prospectus is issued by Non-Listed Public Limited Companies.
